Introduction
These Publisher Terms and Conditions (“Agreement”) govern your participation in the ShareaProfit Publisher / Affiliate Network (the “Network” or “Services”), operated by ShareaProfit LLC (“ShareaProfit”, “we”, “us”, or “our”).
By registering for an account, accessing the platform, or using any services provided by ShareaProfit, you (the “Publisher”) confirm that you have read, understood, and agreed to be bound by this Agreement, as well as any advertiser-specific terms applicable to individual campaigns.
Services Offered
2.1 ShareaProfit provides Publishers access to affiliate campaigns, tracking technology, reporting tools, and payment processing services, subject to approval and ongoing compliance.
2.2 ShareaProfit may collect, process, store, and share Publisher information including, but not limited to, name, business details, contact information, payment details, tax information, IP addresses, and traffic data for purposes of account management, compliance, reporting, advertiser requirements, and payments.
2.3 Publisher information may be shared with advertisers, payment partners, compliance vendors, or legal authorities where required. Separate consent is not required for such sharing.
2.4 ShareaProfit may implement security measures including two-factor authentication (2FA). By registering, Publishers consent to receiving authentication messages via email, SMS, or similar electronic means.
Publisher Obligations
3.1 Publishers must provide accurate, complete, and up-to-date information during registration and at all times thereafter.
3.2 Publishers shall not make misleading, false, or unsubstantiated claims regarding advertisers, products, services, pricing, or offers.
3.3 Publishers acknowledge that all advertiser trademarks, logos, creatives, and intellectual property remain the sole property of the respective advertisers.
Use of Tracking Links & Creative Materials
4.1 Publishers may only use tracking links, creatives, and materials provided or approved by ShareaProfit.
4.2 Tracking links may not be altered, masked, redirected, or modified except through tools expressly provided by the platform (e.g., SubID tracking).
4.3 Links and creatives are non-transferable and may only be used on approved traffic sources registered within the Publisher account.
4.4 ShareaProfit reserves the right to deactivate links or campaigns at any time. Publishers must immediately remove disabled links upon notice.
Promotional Methods & Prohibited Content
5.1 Publishers must not promote offers on or in connection with adult, pornographic, or sexually explicit content unless explicitly approved, hate speech, violence, or illegal activities, gambling content unless explicitly approved, malware, spyware, or deceptive software, spam, unsolicited email, or misleading advertisements.
5.2 Prohibited promotional methods include incentivized traffic unless explicitly approved, auto-redirects, pop-ups, pop-unders, or forced clicks, cookie stuffing, click flooding, or fake leads, trademark bidding or brand keyword bidding without written approval.
5.3 All traffic must be transparent. Referrer URLs must be accurate, complete, and unmasked.
Approved Traffic Sources
6.1 Publishers must declare and obtain approval for each traffic source prior to promotion.
6.2 Traffic sources include websites, mobile apps, email lists, social media pages, paid media channels, or any other medium used to generate traffic.
6.3 Use of unapproved or misrepresented traffic sources may result in immediate account suspension, termination, and reversal of earnings.
Compliance with Laws
7.1 Publishers are solely responsible for complying with all applicable laws and regulations, including but not limited to data protection and privacy laws such as GDPR and CCPA, advertising and consumer protection laws, and email marketing regulations such as CAN-SPAM.
7.2 Publishers must maintain a clear, accessible, and compliant Privacy Policy on all applicable traffic sources.
Tracking, Leads & Sales
8.1 Only conversions tracked through ShareaProfit’s tracking system are eligible for commission.
8.2 Publishers may not submit leads, complete forms, or make purchases on behalf of users.
8.3 All leads and sales must be completed by the end user on the advertiser’s website or approved flow.
Payments
9.1 Publisher earnings are subject to advertiser approval, validation, and receipt of payment by ShareaProfit.
9.2 Payment terms, thresholds, methods, and schedules are defined within the Publisher dashboard and may be updated from time to time.
9.3 ShareaProfit reserves the right to withhold, adjust, reverse, or offset payments due to chargebacks, advertiser non-payment, compliance reviews, fraud, or errors.
9.4 In the event of overpayment, Publishers agree to promptly return excess amounts.
9.5 All approved payouts are processed on a NET 30 basis, calculated as thirty (30) days from the end of the calendar month in which the payment is received by the advertiser.
Chargebacks & Adjustments
10.1 Advertisers may reverse transactions for reasons including fraud, duplication, cancellations, or non-compliance.
10.2 Chargebacks may be applied to current or future balances, regardless of the originating campaign.
Monitoring & Audits
11.1 ShareaProfit reserves the right to monitor traffic, campaigns, and Publisher activity for compliance and quality control.
11.2 During investigations, access to the platform or payments may be temporarily restricted.
Suspension & Termination
12.1 ShareaProfit may suspend or terminate a Publisher account at any time, with or without notice, for violations of this Agreement or advertiser policies.
12.2 Upon termination, all tracking links will be disabled and unpaid earnings may be forfeited if violations or fraud are identified.
Limitation of Liability
13.1 Services are provided “as is” without warranties of any kind.
13.2 ShareaProfit shall not be liable for indirect, incidental, or consequential damages, including loss of revenue or profits.
Indemnification
Publishers agree to indemnify and hold harmless ShareaProfit LLC, its officers, employees, and partners from any claims, damages, or liabilities arising from Publisher activities or violations of this Agreement.
Confidentiality
All non-public information exchanged under this Agreement shall be treated as confidential and used solely for purposes of participation in the Network.
Modifications
ShareaProfit reserves the right to modify these Terms and Conditions at any time. Continued use of the platform constitutes acceptance of the updated terms.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA.
